Acquisition Process
If you’re a founder of a healthcare or life sciences distribution business, chances are you’ve spent years building something with purpose and impact. When the time comes to explore a transition, the decision can feel deeply personal.
At AddVita, we’ve designed our acquisition approach around what matters most to founders: time constraints, legacy preservation, and long-term continuity. Below is an overview of how we typically approach acquisitions and what timelines you can expect.
We begin with an informal conversation to understand your business, its goals, and how it aligns with our long-term strategy. Our acquisitions are rooted in relationships — often built over time — and we focus on ensuring the fit is right for both sides, not just strategically, but culturally and personally.
- Initial Contact
Before requesting any sensitive information, we’ll sign a mutual Non-Disclosure Agreement (“NDA”) to ensure your privacy is fully protected. Once that’s in place, we’ll request key information to help us understand your business — its operations, financials, team, and long-term potential. At the end of this phase, we’ll share an indicative valuation and aim to confirm mutual interest to proceed further.
(~1 to 2 weeks)
- Preliminary Evaluation
If we are aligned on valuation and strategic fit, we will work together toward an indicative term sheet. This non-binding document sets out the key terms — including structure, price, and timeline — and provides the foundation for due diligence and final negotiations.
Many founders ask: “What does it mean to join a long-term group like AddVita?” To us, it means preserving what makes your business special — your people, your legacy, and your reputation.
(~1 to 2 weeks)
- Indicative Offer
After signing a non-binding term sheet, our team conducts confirmatory due diligence with a focus on respect for your time and business operations. We prioritize efficiency — concentrating on key areas that matter most — and work closely with you to minimize disruption to your day-to-day.
In parallel, we draft the Sale and Purchase Agreement to reflect the commercial terms we’ve aligned on. At the end of this phase, we present our final offer and legal documents.
At AddVita, we look beyond the numbers — focusing on customer relationships, culture, and strategic fit to ensure we preserve what makes your business successful.
(~8-10 weeks)
- Due Diligence and Final Offer
Once due diligence is complete and the legal agreement is finalized, we move to close the transaction. This marks the beginning of a new chapter — for your team, your customers, and for you.
After the acquisition, we provide ongoing support and resources to help your business grow. While you retain leadership of your operations, you benefit from being a part of a larger network with expertise and regional reach to grow further.
At AddVita, we know that a successful outcome isn’t just about the numbers — it’s about ensuring your business, and your people, are well-positioned to thrive for the long term.
